Privacy Policy

This Privacy Statement explains how NSDQ Mining LLC ("NSDQ")gathers, tracks and uses information learned about Users through use of this website (the “Site”).   As used herein, the term “User” means anyone who accesses and/or uses the Site, the terms “you” and “your” refer to the User and the terms “we”, “us” and “our” refer to NSDQ.

By using the Site you consent to the data practices set forth in this Privacy Statement and agree to the provisions of the Site’s Terms of Use.  This Privacy Statement applies only to information collected through our Site and not to information collected from you offline or through other means of communication.

 

1. SCOPE

This Privacy Statement does not apply to any personal data collected by us other than personal data collected through the Site. This Privacy Statement shall not apply to any unsolicited information you provide to us through any other means. Any agreement we enter with you which includes provisions concerning confidentiality and/or disclosure of your information shall supercede this Privacy Statement, even if we collected your information through the Site.

2. COLLECTED INFORMATION AND TRACKING

Users may access the Site without providing any personal data. The term “personal data” means any information that enables the identification of an individual; examples of this are names; email addresses, phone numbers and other contact information; and other information specific to an individual. If you use the Site, we may collect personal data, non-personal data and other information from you, all as described below.

Personal Data That You Provide Through the Site

We may collect personal and other data from you when you voluntarily provide such information, such as when you contact us with inquiries or request loan quotes. This personal and other data includes your name, email address, amount of loan sought, purpose of the loan sought and the type of commercial real estate (e.g., multi-family, office, retail, etc.) for the loan quote and other information about your visits to and use of the Site to help us maintain and improve User experience on the Site.

By voluntarily providing us with personal and other data, you are consenting to our use of it in accordance with this Privacy Statement and you acknowledge and agree that such personal data may be used by us and transferred to third parties referred to in this Privacy Statement.

Non-Identifiable & Aggregated Personal Data

When you visit the Site, we receive and store certain personally non-identifiable information (such as your IP address, geographical location, browser type, referral source, length of visit, and page views). Such information, however, is not currently used to specifically identify you.  We may store such information itself or such information may be included in databases owned and maintained by our affiliates, agents or service providers. It is possible that third parties may collect similar information about your computer and other pages you may visit when you visit our Site.

3. INFORMATION WE COLLECT FROM YOUR USE OF THE SITE

When Users visit the Site we receive and store certain information using various methods to collect certain information disclosed through your use of the Site.  Such methods and information include: cookies; web beacons; referrers; IP addresses; and system information.  We may use such information to, among other things, tailor User experience on the Site, track usage of the Site, including number of Site visits, to identify websites which refer traffic to the Site and to determine what web browser you are using.

As technologies change, we may collect information in different ways.  However, we will continue to treat all personal information that we collect in the same manner, unless we modify this Privacy Statement to provide notice of any change.

It is possible that third parties may collect similar information about your computer and other pages you may visit when you visit our Site.

4. USE OF YOUR PERSONAL DATA AND OTHER INFORMATION

NSDQ pairs commercial real estate owners with commercial real estate lenders and does not offer this service to consumers for family, personal or household purposes.  We use Users’ personal data in a manner that is consistent with this Privacy Statement. If you provide personal data for a loan quote and to seek loan offers or otherwise contact us through the Site, we will use it consistent with such purposes.  For example, we may:

  • Contact you to discuss your request for a loan quote, loan offers from third parties or your other inquiries;

  • Maintain regular communications with you concerning transactions you initiate, such as requesting loan quotes or accepting loan offers from third parties, information or assistance and loan offers we find for you; and

  • To inform you about new products or services which we may offer, to conduct surveys or other inquiries to improve the Site and your satisfaction with us.

 

We may use non-personal data gathered when you visit the Site to improve the Site and the services we offer. We may pool non-personal data to track usage of the Site.  We may pool any information we receive through the Site to track User characteristics and experience, interest and behavior and analyze such pooled information on an aggregate basis. We may also disclose aggregated user statistics to describe our services to current and prospective business partners, and to other third parties for other lawful purposes.

We may use this information to contact you about services we believe will be of interest to you. If at any time you wish not to receive any future marketing communications or you wish to have your name deleted from our mailing lists, please contact us as set forth below. From time to time, we may also send user surveys, requests for user feedback regarding user experience and site operations or marketing offers from us. The completion of these surveys or requests for feedback or acceptance of any offer is strictly voluntary. If you do not wish to receive these offers, surveys or user feedback emails, please opt out in any offer email you receive from us.

5. HOW AND WHEN YOUR INFORMATION IS SHARED WITH OTHER PARTIES

NSDQ will not sell your personal information that you give to us, including your email address, however, we may disclose personal data and other information to current and prospective business partners, agents and contractors. NSDQ requires such parties to keep your information confidential.  We may disclose personal information to such business partners, agents and contractors without additional notice.  We may disclose to others information regarding your access and use of the Site, in which case it is not identified to you and is aggregated with other data.

We may disclose your personal data and other information in certain cases including, but not limited to:

  • Business Transfers: As we develop our business, we might sell or buy businesses or assets. In the event of a corporate sale, merger, reorganization, dissolution or similar event, personal data may be part of the transferred assets.

  • Lenders: In submitting a request for a loan quote through this Site, you are consenting to the disclosure of your personal data with lenders from whom we will seek loan offers on your behalf.

  • Business Partners, Agents, Contractors: We may also disclose aggregated user statistics to describe our services to current and prospective business partners, agents and other third parties for other lawful purposes.

  • Legal Requirements: We may disclose your personal data if required to do so by law or in the good faith belief that such action is necessary to (i) comply with a legal obligation, (ii) protect and defend our rights or property, (iii) act in urgent circumstances to protect the personal safety of individuals or the public, (iv) protect against legal liability, or (v) limit fraud.

6. CHILDREN AND MINORS

We do not knowingly collect personal data from minors under the age of 18. If you are under the age of 18, please do not submit any personal data through the Services. We encourage parents and legal guardians to monitor Internet usage by minors and to help enforce our Privacy Statement by instructing their children never to provide personal data on the Services without their permission. If you have reason to believe that a minor under the age of 18 has provided personal data to us through the Services, please contact us, and we will endeavor to delete that information from our databases.

7. LINKS TO OTHER WEB SITES

This Privacy Statement applies only to the Site. The Site may contain links to other websites not operated or controlled by us (“Third Party Sites”). The policies and procedures we described here do not apply to Third Party Sites. The links from the Site do not imply that we endorse or have reviewed Third Party Sites. We suggest contacting those sites directly for information on their privacy policies.

8. SECURITY

We take reasonable steps to protect the personal data provided via the Site from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. However, no Internet or email transmission is ever fully secure or error free. Please keep this in mind when disclosing any personal data via the Internet.

Your access to and use of the Site is subject to the Terms of Service which can be accessed through the Site and is incorporated herein by reference.

10. CHANGES TO PRIVACY STATEMENT

We may make changes to this Privacy Statement from time to time. If we do this, we will post the changed Privacy Statement on the Site and will indicate at the top of this page the date the Privacy Statement was last revised. 1.  SITE ACCESS AND USE

Use of this website (the “Site”) and access to and use of its Content (as defined below) is subject to these Terms of Use and any additional use policies and conditions NSDQ Mining LLC (“NSDQ”) may adopt.  As used herein, the term“User” means anyone who accesses and/or uses the Site, the terms “you”and “your” refer to the User and the terms “we”, “us” and “our” refer to NSDQ.  NSDQ may suspend or terminate access of any or all Users to the Site at any time.  NSDQ may also change the Site and Content at any time.  

2.  ELIGIBILITY

This Site is intended solely for Users who are eighteen (18) years of age or older, and any registration by, use of or access to the Site by anyone under 18 is unauthorized, unlicensed and in violation of these Terms of Use. By using the Site, you represent and warrant that you are 18 or older and that you agree to and abide by these Terms of Use. If you violate any of these Terms of Use, or otherwise violate an agreement between you and us, or for any other reason, we may prohibit you from using or accessing the Site at any time.

3.  RESTRICTIONS AND LIMITATIONS

All information and content made available through the Site, including, but not limited to, information, text, artwork, graphics, images, trademarks and logotypes (“Content”), is the property of NSDQ or others.  United States and international trademark, copyright and other intellectual property right laws protect the Content.

No Content may be copied, distributed, framed, reproduced, displayed, republished, posted, transmitted, or sold in any form or by any means, in whole or in part, without our prior written permission, except as provided in the following sentence. Provided that you are eligible for use of the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content solely for your personal use, provided that you keep any references to NSDQ, copyright or other proprietary notices intact. You may not incorporate the information in any other database or compilation, and any other use of the Content is strictly prohibited. Such license is subject to these Terms of Use and does not include use of any data mining, robots or similar data gathering or extraction methods. Any use of the Site or the Content other than as specifically authorized herein, without our written permission, is strictly prohibited and will terminate the license granted herein.

The technology and software used in the Site are either proprietary to NSDQ or NSDQ is duly licensed to use (“Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software.

Any rights not expressly granted herein are reserved by us.

4.  USER REPRESENTATIONS

You represent, warrant and agree that no materials of any kind submitted or shared by you through the Site will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material. You further agree that you may not use the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site. NSDQ pairs commercial real estate owners with commercial real estate lenders and does not offer this service to consumers for family, personal or household purposes.  You represent that you are not a consumer seeking financing for family, personal or household purposes.

5.  LINKS

As a convenience, NSDQ may provide links to websites operated by other entities.  If you access these websites, you will leave the Site.  If you decide to visit any linked website, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses, spyware, adware or any other malware, or other destructive elements.  NSDQ makes no warranty or representation regarding, and does not endorse, any linked websites, the information appearing on those websites or any of the products or services described on those websites.

Links do not imply that NSDQ sponsors, endorses, is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in, or accessible through the links, or that any linked website is authorized to use any trademark, trade name, logo or copyright symbol of NSDQ.

We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, User communications. We are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players because technical problems or traffic congestion on the Internet or on the Site or combination thereof, including injury or damage to Users’ or any other person’s computer.

We may make changes to these Terms of Use from time to time. If we do this, we will post the changed Terms of Use on the Site and will indicate at the top of this page the date the Terms of Use were last revised. You understand and agree that your continued use of the Site after we have made any such changes constitutes your acceptance of the new Terms of Use.

Please review the Site’s Privacy Statement which is incorporated herein by reference. NSDQ will use commercially reasonable efforts to follow the Privacy Statement. NSDQ may change the Privacy Statement from time to time.

9.  LIMITATION OF LIABILITY

NSDQ WILL HAVE NO LIABILITY FOR ANY LOSS OR DAMAGE ARISING OUT OF, OR RELATING TO ACCESS TO OR USE OF THE SITE OR ITS CONTENT.  IN NO EVENT, WILL NSDQ’S LIABILITY OF ANY KIND INCLUDE ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES, EVEN IF NSDQ SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH POTENTIAL LOSS OR DAMAGE, OR EXCEED $100.

10.  YOUR INDEMNIFICATION OF NSDQ

You will indemnify, defend and hold harmless NSDQ and NSDQ’s employees, officers, managers, members, agents and parties contracting with NSDQ against all loss, cost, damage and expense (including reasonable attorney’s fees and cost of suit) arising out of or related to (i) claims of negligence, strict liability, product liability, breach of warranty or otherwise with respect to the Site or its Content that are brought by you, your successors or assigns, or any third party, and (ii) your use of the Site or its Content.

11.  GENERAL

These Terms and Conditions will be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States of America.  All controversies and claims arising out of or relating to these Terms and Conditions, or the breach thereof, will be settled by arbitration in Richmond, Virginia, administered by the American Arbitration Association under Commercial Arbitration Rules, provided, that there shall be no right or authority for any claims to be arbitrated on a class action basis. The arbitration will be conducted in the English language.  Judgment on any award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.  Nothing herein shall prevent NSDQ or you from seeking preliminary injunctive relief from a court or competent jurisdiction, which you agree includes the courts of the Commonwealth of Virginia and the United States of America in Richmond, Virginia.

If any part of these Terms and Conditions is held illegal, void or ineffective, the remaining portions will remain in full force and effect.  No failure by either party to take any action or assert any right under these Terms and Conditions will be deemed to be a waiver of that right in the event of the continuation or repetition of the circumstances giving rise to that right.
